You must be at least 18 years old to use Counterr. By using the service, you represent that you are 18 or older and have the legal capacity to enter into these Terms. Counterr is currently intended for use by individuals in the United States.
You agree to provide accurate information when submitting a document. You are responsible for the accuracy of any context you provide (role, location, industry, etc.) that informs the analysis.
By submitting a document, you represent that you have the right to share its contents with Counterr for the purpose of receiving analysis. You should not submit documents that you are legally prohibited from sharing, or documents belonging to other individuals without their authorization.
You agree not to use Counterr for any unlawful purpose, to submit false or fraudulent documents, to attempt to reverse-engineer or misuse our systems, or to use the service in any way that could harm Counterr or other users.
Counterr provides analysis and negotiation guidance based on the document you submit. This is not legal advice. No attorney-client relationship is created by using our service. Our reports are designed to help you understand your document and negotiate more confidently — they are not a substitute for professional legal counsel.

Submitting your document to Counterr is free. You will receive a preview of your report — including your risk score, estimated value range, and a summary of findings — at no cost.
Unlocking a full report requires a one-time payment. Current pricing is displayed on our pricing page and at the point of purchase. Prices are in US dollars and may change at any time (changes will not affect purchases already made).
All payments are non-refundable. Because every paid report involves real expert time and review, we are unable to offer refunds once a report has been purchased. If you have a concern about the quality or accuracy of your report, contact us at support@counterr.ai and we will work with you to make it right.
Payments are processed by Stripe. By making a payment, you also agree to Stripe's Terms of Service. Counterr does not store your credit card or payment credentials.
We aim to deliver all expert-reviewed reports within 12 hours of submission. Most are delivered sooner. For time-sensitive situations, contact us at support@counterr.ai before submitting and we will do our best to prioritize your review.
Counterr is not liable for delays caused by circumstances outside our control. In the unlikely event that we are unable to complete your report, we will issue a full refund.
You retain all rights to the documents you submit. By submitting a document, you grant Counterr a limited, non-exclusive license to use its contents solely for the purpose of generating your report.
Your completed report is for your personal use only. You may not resell, republish, or distribute your report or any portion of it for commercial purposes.
The Counterr name, logo, website, and the underlying analysis methodology are the intellectual property of Counterr. Nothing in these Terms grants you any rights to our IP beyond the right to use the service as described.
We take the confidentiality of your document seriously. Your submission is used only to generate your report and is not shared beyond the service providers described in our Privacy Policy. Expert reviewers are bound by confidentiality obligations. We do not use the content of your documents to train AI models or for any purpose other than delivering your report.
Counterr is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:
You use the service and act on the guidance in your report at your own discretion and risk.
To the fullest extent permitted by applicable law, Counterr and its founders, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the service — including, without limitation, any damages resulting from reliance on your report, failed negotiations, changes to an offer or contract, or any employment outcome.
In no event shall Counterr's total liability to you exceed the amount you paid for the report giving rise to the claim.
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
